These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Slate Marketing LLC, operating as Forward Louisville ("Forward Louisville," "we," "us," or "our"), governing your access to and use of the website located at forwardlouisville.com and all associated services, features, and content (collectively, the "Services").
By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated herein by reference. If you are using our Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
Forward Louisville is a local business directory platform serving the Louisville, Kentucky metropolitan area. Our Services include:
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under the age of 18, you may not use our Services under any circumstances.
Our Services are intended for use within the United States. We make no representations that our Services are appropriate or available for use in other locations. If you access our Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.
Business owners may submit a free listing to Forward Louisville at no cost. Free listings include a basic business card displaying your business name, category, contact information, and a short description. Free listings are subject to review and approval by Forward Louisville before being published on the directory.
If your business already appears in our directory but has not been claimed, you may submit a claim request. You must be an authorized representative of the business to claim a listing. We will verify your claim within 24 hours of submission. Providing false information in a claim request is a violation of these Terms and may result in permanent removal from the directory.
You are solely responsible for ensuring that all information submitted for your business listing is accurate, complete, and up to date. This includes but is not limited to business name, address, phone number, website, hours of operation, and business description. Forward Louisville reserves the right to remove or edit any listing that contains inaccurate, misleading, or inappropriate information.
Forward Louisville reserves the right to approve, reject, or remove any business listing at our sole discretion. We may reject listings for any reason, including but not limited to businesses that engage in illegal activities, businesses that violate our community standards, or businesses for which we cannot verify legitimacy.
Forward Louisville offers a Premium membership at $99 per year ("Premium Membership"). Premium members receive the following benefits:
Premium Membership is billed annually at $99 per year. Payment is processed securely through Stripe. By purchasing a Premium Membership, you authorize us to charge your payment method the annual fee. All payments are non-refundable except as required by applicable law.
Premium Memberships do not automatically renew. You will be notified prior to your membership expiration date with the option to renew. If you choose not to renew, your listing will revert to a free listing and featured benefits will be removed.
The strategy call and 30-second promotional video included with Premium Membership must be scheduled and completed within 90 days of your membership start date. Forward Louisville reserves the right to determine the format, style, and content of promotional videos while incorporating your brand and business information. Unused deliverables expire at the end of the 90-day window and are not carried over or refunded.
By submitting any content to Forward Louisville, including but not limited to business descriptions, photos, logos, reviews, or any other materials ("User Content"), you grant Slate Marketing LLC a non-exclusive, royalty-free, worldwide, perpetual license to use, display, reproduce, distribute, and modify such content for the purpose of operating and promoting the directory.

All content on Forward Louisville that is not User Content, including but not limited to the website design, layout, graphics, logos, text, code, and functionality (collectively, the "Forward Louisville Content"), is owned by or licensed to Slate Marketing LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any Forward Louisville Content without our prior written consent. Limited personal, non-commercial use of our Services is permitted provided you do not remove any copyright or proprietary notices.
The Forward Louisville name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Slate Marketing LLC. You may not use such marks without our prior written permission.
Forward Louisville makes reasonable efforts to ensure that business information listed in our directory is accurate. However, we do not guarantee the accuracy, completeness, or reliability of any listing information. Business information may change without notice and we cannot guarantee that all listings are current.
Forward Louisville does not endorse, recommend, or guarantee any listed business, its products, services, or representations. Any reliance you place on information found in our directory is at your own risk. We strongly encourage you to conduct your own research and due diligence before engaging with any listed business.
User-submitted reviews and ratings reflect the opinions of individual users and do not represent the views of Forward Louisville. We do not verify the accuracy of user reviews.

SLATE MARKETING LLC DOES NOT WARRANT THAT: (A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SLATE MARKETING LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

Forward Louisville reserves the right to suspend or terminate your access to our Services, remove your listing, or cancel your Premium Membership at our sole discretion, without notice, for any reason, including but not limited to a violation of these Terms.
You may request the removal of your business listing at any time by contacting us at [email protected]. Premium Membership fees are non-refundable upon termination.
All provisions of these Terms that by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Clark County, Indiana for the resolution of any disputes arising from these Terms or your use of the Services.
Any dispute arising from or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules, rather than in court, except that you may assert claims in small claims court if your claims qualify.
We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you, such as by posting a notice on our website or sending an email to business owners with active listings.
Your continued use of our Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our Services.
